This Referral Commission and Incentive Policy (hereinafter referred to as “the Policy”) outlines the terms and conditions governing the referral program offered by Solarsquare (hereinafter referred to as “the Company”). The Policy is designed to reward individuals who successfully refer new customers to the Company, fostering mutual growth and expanding the Company’s reach within the renewable energy sector. This Policy shall be read in conjunction with any other applicable terms and conditions of the Company. This Policy shall be effective from [●] (“Effective Date”) and shall apply only to referrals submitted on or after the Effective Date. Referrals submitted prior to the Effective Date shall not be eligible under this Policy, unless otherwise expressly approved in writing by the Company. The Company reserves the right to amend or withdraw this Policy at its discretion, with such changes applicable prospectively.
The primary objective of this Policy is to establish a clear, transparent, and equitable framework for the payment of referral commissions and the provision of performance-based incentives. It aims to:
a. Encourage existing customers, partners, and well-wishers to advocate for Solarsquare’s products and services.
b. Define the criteria for a valid referral and the conditions for earning a commission.
c. Provide for a mechanism to adjust referral amounts based on the Company’s revenue growth and market dynamics.
d. Implement special incentive schemes to acknowledge and reward top-performing referrers, thereby building stronger customer confidence and loyalty.
e. Ensure fairness, transparency, and compliance with applicable laws and regulations in all referral activities.
For the purpose of this Policy, the following terms shall have the meanings ascribed to them below:
a. “Company” shall mean Solarsquare Energy Private Limited, a company duly incorporated under the laws of India, having its registered office at G 3, B Wing, Hetkunj, V.P. Road, Fidai Baugh Lane, Opp. Vithal Kunj, Andheri (West), Mumbai, Maharashtra 400058, India.
b. “Referrer” shall mean any individual or entity who refers a potential customer to the Company in accordance with this Policy.
c. “Referee “ shall mean a new customer introduced to the Company by a Referrer, who has not previously engaged with the Company or been part of its existing database; provided, however, that where the Referee Customer exists in the Company’s database from a prior lead, such Referee Customer shall be eligible under this Policy only if no active engagement, proposal, or transaction has occurred with such Referee Customer for a continuous period of 6 months prior to the referral submission date, as determined by the Company at its sole discretion..
d. “Successful Referral” shall mean a referral where the Referred Customer enters into a definitive agreement with the Company for the purchase and installation of solar products or services, and the Company receives full payment for the same.
e. “Referral Commission” shall mean the monetary amount payable to a Referrer upon a Successful Referral.
f. “Performance-Based Incentives” shall mean additional rewards or benefits offered to top-performing Referrers, beyond the standard Referral Commission.
g. “Referral Period” shall mean the duration within which a referral must result in a Successful Referral to be eligible for commission, as specified in this Policy. If the installation of the Referee Customer’s plant is delayed or paused due to reasons attributable to the Company, the applicable referral validity period shall be deemed suspended for the duration of such delay and shall resume upon recommencement of installation.
Any individual or entity, excluding employees, directors, or Current Customer of the Company, is eligible to participate as a Referrer under this Policy. The Company reserves the right to determine eligibility at its sole discretion.
A Referrer may submit a referral by sharing the details of a prospective customer with the Company through the Company’s designated referral channels, including but not limited to official referral form available on the Company’s website , SolarSquare mobile applications, official SolarSquare email IDs, or any other mode as communicated by the Company from time to time in writing.
A referral shall be considered valid only if:
i. The Referred Customer is not an existing customer or lead already registered in the Company’s database; provided, however, that if the Referred Customer exists in the Company’s database from a prior lead submitted through any other channel within the preceding 6 months prior to the referral date, and such referral results in installation of the plant within the applicable referral validity period, the Referrer shall remain eligible for the applicable incentive. Conversely, if a lead for the same customer is submitted through another channel after the expiry of the referral validity period, such referral shall not be credited to the Referrer. The Company’s records and timestamps shall be final in determining eligibility.
ii. The referral details are complete, accurate, and verifiable; only if they include the Referrer’s registered phone number (as recorded with the Company), the Referee Customer’s full name, a valid and functional phone number of the Referee Customer, and the correct city and/or pincode of the Referee Customer.
iii. The referral is acknowledged and accepted by the Company.
iv. In case the same customer is referred by more than one Referrer, the referral submitted first, as determined by the Company’s records and timestamp, shall be considered the valid referral and eligible for commission or incentive under this Policy.
The Company reserves the right to verify the authenticity and eligibility of each referral and to reject any referral that does not comply with this Policy.
A referral must result in a Successful Referral within the Referral Period, as determined by the Company, to qualify for a Referral Commission.
Upon a Successful Referral, the Referrer shall be entitled to a one-time referral commission per Referred Customer.
The Referral Commission is a one-time payment per Successful Referral and shall not be recurring, irrespective of future purchases, upgrades, or additional services availed by the Referred Customer.
In the event the PAN is inoperative due to non-linking of Aadhaar and PAN, TDS at the rate of 20% of the payout shall be deducted. If the PAN is operative, TDS at the rate of 2% of the payout shall be deducted, in accordance with applicable law.
Referral Commission shall not be deemed a matter of right and shall be payable only upon strict fulfillment of all conditions set forth under this Policy and subject to final approval by the Company.
In addition to the standard Referral Commission, the Company may, at its sole discretion, introduce performance-based incentive schemes to reward top-performing Referrers.
Such incentives may be announced periodically and may include, without limitation:
i. Cash bonuses;
ii. Gift vouchers or non-cash rewards;
iii. Special recognition or exclusive benefits; or
iv. Limited-period festival or promotional schemes.
The Company may roll out special incentive schemes during festivals or promotional periods, including but not limited to occasions such as Ganpati Festival, Diwali, or other regional or national events, to encourage higher referral volumes and strengthen customer confidence.
Eligibility criteria, incentive structure, duration, and terms of such performance-based or festival-specific schemes shall be communicated separately at the time of announcement and shall form an integral part of this Policy for the relevant period.
The Company reserves the right to modify, withdraw, or discontinue any performance-based incentive scheme without prior notice.
Referral Commissions and applicable incentives shall be processed within 30–60 business days from the date the Successful Referral conditions are fulfilled, subject to internal verification and compliance requirements. In the event of any delay due to operational, technical, compliance, or other reasonable business reasons, the Company shall process the commission within a reasonable additional period, and such delay shall not entitle the Referrer to any interest, damages, or other compensation.
Payments shall be made through bank transfer, digital payment platforms, or any other mode as determined by the Company.
The Referrer shall be solely responsible for compliance with applicable tax laws, including reporting of income received under this Policy. The Company shall not be liable for any tax liability of the Referrer beyond statutory tax deductions, if any.
a. The Company reserves the right to disqualify a Referrer and forfeit any unpaid Referral Commission or incentives if:
i. The referral is found to be fraudulent, misleading, or fabricated;
ii. The Referrer engages in unethical, misleading, or aggressive sales practices including submission of fake leads, spamming, impersonation, misrepresentation, or unauthorized use of the Company’s name or brand without prior written consent.;
iii. The Referrer violates any provision of this Policy or applicable law; or
iv. There is any misrepresentation of the Referee Customer’s prior or existing association, engagement, or relationship with the Company.
b. Disqualification shall be without prejudice to any other rights or remedies available to the Company under law.
This Policy does not create an employment, agency, partnership, or joint venture relationship between the Referrer and the Company. The Referrer acts as an independent third party and has no authority to bind the Company or make any representations or warranties on its behalf. The Referrer shall not hold themselves out as an employee or agent of the Company.
To the extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Policy or the referral program. The Company’s total liability, if any, shall be limited to the amount of Referral Commission actually paid to the Referrer for the relevant Successful Referral. Nothing herein shall exclude liability that cannot be excluded under applicable law.
Referrers shall maintain strict confidentiality regarding any proprietary information, trade secrets, customer data, or business strategies of the Company that they may become privy to during their participation in the referral program. This obligation shall survive the termination of their participation in the program.
The Company reserves the right to amend, modify, suspend, or terminate this Policy, or any part thereof, at any time, with or without prior notice. All such changes shall be effective immediately upon their publication on the Company’s official website or through other official communication channels. Continued participation in the referral program after any such changes constitutes acceptance of the revised Policy.
This Policy shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Policy shall be subject to the exclusive jurisdiction of the courts in Mumbai, India. The principles of the Indian Contract Act, 1872, shall apply to the interpretation and enforceability of the terms herein.
By participating in the Solarsquare Referral Commission and Incentive Policy, the Referrer acknowledges that they have read, understood, and agree to be bound by all the terms and conditions set forth herein.
